Terms of use.

The terms governing your use of ussoftware.io. By using the Site, you agree to them.

Starter content. Effective January 15, 2020. This is a working draft — please have counsel review before relying on it.

1 · Acceptance

These terms (“Terms”) form a binding agreement between you and U.S. Software Inc. (“U.S. Software,” “we,” “us,” or “our”), a California corporation, and govern your use of ussoftware.io (the “Site”). If you do not agree, do not use the Site.

2 · About this Site

The Site provides general information about U.S. Software, our work, our team, and how to get in touch. It is informational. Engagement of our services — and the obligations and warranties relating to that engagement — is governed by a separate written agreement (such as a Master Services Agreement or Statement of Work). Nothing on the Site constitutes legal, financial, or other professional advice.

3 · Intellectual property

The Site and its content — text, graphics, logos, images, code, and design — are owned by U.S. Software or its licensors and are protected by U.S. and international intellectual-property laws. You may view the Site for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or create derivative works from any part of the Site without our prior written permission.

4 · Submissions

When you submit information through our forms (for example, the contact form or a job application), you confirm that the information is accurate and that you have the right to share it. By submitting, you grant U.S. Software a non-exclusive, royalty-free, worldwide right to use the information for the purpose for which you sent it — for example, replying to your inquiry or evaluating your candidacy — and as otherwise described in our Privacy policy.

5 · Acceptable use

You agree not to:

  • Use the Site in any way that violates applicable law or these Terms.
  • Probe, scan, or test the Site’s vulnerability except as expressly permitted by our Security page.
  • Attempt to interfere with the Site’s normal operation, including denial-of-service or load-generating activity.
  • Use automated tools to scrape, harvest, or republish content from the Site without our written permission.
  • Submit content that is unlawful, defamatory, infringing, or that contains malware.

6 · Third-party links and services

The Site may link to, or rely on, third-party services (for example, FormSubmit.co for forms, Cloudflare for bot protection, Google Analytics for usage measurement). We do not control those services and are not responsible for their content, availability, or practices. Their terms and privacy policies apply when you interact with them.

7 · Disclaimer of warranties

The Site is provided “AS IS” and “AS AVAILABLE,” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, secure, or error-free. To the fullest extent permitted by law, U.S. Software disclaims all such warranties.

8 · Limitation of liability

To the maximum extent permitted by law, U.S. Software and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of the Site, even if advised of the possibility of such damages.

9 · Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

10 · Changes to these Terms

We may update these Terms from time to time. The “Effective” date at the top reflects the latest version. Your continued use of the Site after changes are posted means you accept the updated Terms.
